Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, application funnel, assessments, and expert platform operated by Rustlabs LLC, a New York limited liability company ("RustLabs," "we," "us") at rustlabs.ai and experts.rustlabs.ai (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms do not replace signed agreements. If you sign a RustLabs Expert Contributor Agreement, Confidentiality Agreement, Expert Code of Conduct, or project addendum, those documents govern your work for RustLabs and control over these Terms wherever they overlap.

Our Privacy Notice and, for applicants and experts, our Expert & Applicant Privacy Notice describe how we handle personal information. They are incorporated into these Terms by reference.

We may update these Terms. We will post the updated version with a new "Last updated" date, and we will notify you of material changes through the Services or by email. Continued use after the effective date constitutes acceptance.

You may use the Services only if you are at least 18 years old, capable of forming a binding contract, and not barred from using the Services under applicable law, including U.S. export-control and sanctions laws.

You are responsible for your account credentials and for all activity under your account. One account per person; accounts are personal and may not be shared, sold, or transferred. Notify us promptly at hello@rustlabs.ai of any unauthorized use. We may require identity verification and multi-factor authentication as a condition of access.

Submitting an application or completing an assessment does not create an engagement, employment, or any promise of work or compensation. You represent that all information you submit (including your resume, credentials, and assessment answers) is accurate, your own, and completed without unauthorized assistance. By applying, you agree that we may contact you by email about your application and about projects that may match your expertise; you can opt out of project emails at any time. We may decline, close, or remove applications at our discretion.

You retain ownership of the content you submit through the application funnel (such as your resume and profile). You grant RustLabs a non-exclusive, worldwide, royalty-free license to host, reproduce, and use that content to evaluate your application, administer the Services, and match you to potential projects. Content created under a signed Contributor Agreement is governed by that agreement, not this Section.

You will not: (a) scrape, crawl, or harvest data from the Services or access them by automated means; (b) impersonate any person or misrepresent your identity or qualifications; (c) create multiple or fake accounts; (d) probe, breach, or circumvent security or rate limits; (e) upload malware or unlawful content; (f) interfere with the Services' operation; (g) use the Services to build a competing dataset or service; or (h) violate any applicable law. We may investigate and enforce, including removing content, suspending or terminating accounts, and notifying law enforcement.

The Services and their content (excluding your content), including software, text, design, and marks, are owned by RustLabs or its licensors. No rights are granted except the limited right to use the Services as intended. "RustLabs" and associated marks may not be used without written permission.

The Services may link to or integrate third-party sites and services (for example, identity-verification and payment providers). We are not responsible for third-party content or practices; your use of them is governed by their terms.

We may suspend or terminate your access to the Services at any time, with or without notice, including for violation of these Terms. You may stop using the Services at any time. Sections 7 through 16 survive termination. Termination of platform access does not by itself terminate any signed agreement, which ends according to its own terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT ANY APPLICATION WILL RESULT IN AN ENGAGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) RUSTLABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR LOST PROFITS, DATA, OR OPPORTUNITIES; AND (b) RUSTLABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS PAID BY RUSTLABS TO YOU UNDER A SIGNED AGREEMENT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW OR RUSTLABS' PAYMENT OBLIGATIONS UNDER A SIGNED AGREEMENT.

You will indemnify and hold harmless RustLabs and its members, officers, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Except as stated below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration before a single arbitrator administered by the American Arbitration Association under its rules, seated in Suffolk County, New York (hearings may be by videoconference). Disputes will be arbitrated only on an individual basis; class, collective, consolidated, and representative proceedings are waived. Either party may bring an individual claim in small-claims court, and either party may seek equitable relief in the state or federal courts located in Suffolk County, New York for misuse of the Services or intellectual property. For any court proceeding, both parties waive trial by jury. If you signed a Contributor Agreement, its dispute-resolution clause governs disputes within its scope.

These Terms (with the documents they incorporate) are the entire agreement regarding the Services and supersede prior discussions on that subject. If any provision is unenforceable, it will be reformed to the minimum extent necessary and the remainder stays in effect. Failure to enforce is not waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
